Effective 15 September 2026
Terms of Service
This agreement sets out what KesherSuite provides, what you owe for it, who owns your data and the platform, what is and is not warranted, and how either party ends the arrangement. You retain ownership of your data and your application configurations. The service is provided as-is, with no uptime commitment. Liability is limited as set out in section 11. Singapore law governs.
1. Parties
These Terms are a binding agreement between you, and the organisation you represent ("you", "your"), and Yong Xiancong, an individual sole operator based in Singapore, trading as KesherSuite ("KesherSuite", "I", "me", "my").
KesherSuite is operated by one person and is not an incorporated company. This is stated here because it affects who you are contracting with and what recourse you have. If the business incorporates, the company will assume this agreement and account holders will be notified by email.
By creating an account, or by clicking to accept these Terms, you agree to them. If you are accepting on behalf of a company or other organisation, you confirm that you have authority to bind it, and "you" means that organisation.
2. The service
KesherSuite is a hosted platform for building and running internal business applications. You describe what you need in plain language; an AI agent proposes an application configuration; you approve it; the platform creates real database tables and enforces the rules that configuration defines. You may then modify that configuration directly through the builder interface.
3. Your account
- You must provide accurate registration information and keep it current.
- You are responsible for all activity under your account and for keeping your credentials secure. Two-factor authentication is available and its use is recommended.
- You must be at least 18 years old, or the age of legal majority where you live, whichever is greater.
- Accounts are individual. Credentials must not be shared between people. Pricing is per organisation rather than per seat, so sharing confers no benefit.
- API keys issued within your organisation act with the permissions of the user who created them, and inherit any later change to that user's permissions. Treat a key as equivalent to that user's credentials, and revoke it when the user's role changes.
- Notify me at xc.keshersuite@gmail.com promptly on becoming aware of any unauthorised access.
4. Trial, plans and payment
4.1 Free trial
New organisations receive a free trial for the period stated at signup, with no payment details required. The trial provides the full product, subject to the usage limits published for it.
Where a trial ends without an upgrade, no data is deleted. The workspace moves to a restricted free state — a reduced number of applications, with AI features paused — and your data remains available to read and export until you either upgrade or close the account.
4.2 Paid plans
- Fees, billing frequency and included usage are those displayed at checkout at the time you subscribe. That page is the authoritative statement of price; this agreement does not restate it.
- Subscriptions renew automatically at the end of each billing period until cancelled.
- Payment is processed by Stripe. Card details are not stored by me.
- Fees exclude taxes. You are responsible for any applicable taxes other than tax on my income.
- Usage beyond your plan's included allowance may incur overage charges, up to a ceiling you set yourself. The default ceiling is zero. Once the ceiling is reached, the metered activity stops rather than continuing to bill you.
- Plan prices are charged in Singapore dollars. Included AI allowances are denominated in United States dollars, because they are computed from the model providers' own published rates.
4.3 Changes to pricing
Prices may change on at least 30 days' notice by email, effective at your next renewal. If you do not accept a price change, cancel before it takes effect.
4.4 Cancellation and refunds
- You may cancel at any time. Your subscription runs to the end of the period already paid for.
- Fees already paid are non-refundable, except where required by law or where I have failed to provide the service and cannot remedy that failure.
- On payment failure, the account moves through a staged wind-down — notice, suspension, a grace period, then preparation of an export — before any data is deleted. You are emailed at each stage and may export your data at any point during it.
5. Ownership
5.1 Your data
You retain all rights to the data you put into KesherSuite and to the application configurations you create. I claim no ownership of either.
You grant me a limited licence to host, copy, transmit, display and process that data solely to provide the service to you, to keep it secure, and to back it up. That licence exists only so the software can function, ends when you delete the data or close your account, and permits nothing further.
5.2 The platform
KesherSuite — the software, interface, documentation, templates, brand and everything else that is not your data — remains my property. You receive a non-exclusive, non-transferable right to use it for the term of your subscription. You may not copy, reverse-engineer, resell or create a competing service from it.
5.3 Feedback
Suggestions you send me may be used freely and without obligation to you. You will not be identified as the source without your permission.
5.4 Export
A full export of every application configuration and every record, in CSV or JSONL, is built into the product and available at any time while your account is open. There is no charge and no request process.
6. Acceptable use
You will not use KesherSuite to:
- Break any law, or infringe any person's intellectual property or privacy rights
- Store or transmit malware, or attempt to gain unauthorised access to any system, account or data, including other tenants' data
- Probe, scan or load-test the platform except as permitted under the vulnerability disclosure process described in the Privacy Policy
- Send spam or unsolicited bulk messages
- Circumvent usage limits, rate limits or billing
- Resell or white-label the service without my written agreement
- Generate unlawful, harmful, deceptive or abusive content using the AI features
- Store personal data you have no lawful basis to hold, or collect personal data from third parties through the platform without giving those people the notice their own law requires
An account may be suspended for a serious or repeated breach. Where it is safe and practical to do so, notice and an opportunity to remedy will be given first.
6.1 Regulated and high-risk data
KesherSuite is a general business platform. It is not certified for data subject to specialised regimes, including cardholder data under PCI DSS, protected health information under HIPAA, and classified government information. Do not store such data unless otherwise agreed in writing.
6.2 Services you connect
The platform can send data to third-party services you choose to connect, and to endpoints you configure yourself. Where you do so, you are instructing the platform to make that transfer, the receiving service is your subprocessor rather than mine, and its handling of that data is governed by your agreement with it. Responsibility for the lawful basis for those transfers is yours.
7. Artificial intelligence
- AI output may be wrong. Proposed configurations, suggestions, and anything produced by an agent you configure may contain errors. You are responsible for reviewing what is proposed before approving it.
- Approval is yours. The agent does not apply configuration changes on its own. Every change is staged as a proposal that a person on your side approves. This is an architectural property of the platform rather than a setting, and it places responsibility for the decision with you.
- AI output is not professional advice. KesherSuite includes accounting, HR and compliance features. Output from those features is not accounting, legal, tax or professional advice, and I am not liable for decisions made on the basis of it. Have a qualified professional review anything consequential.
- Processing involves third parties. Your prompts, and the configuration or record data relevant to a request, are sent to the AI providers named in the subprocessor list. Use of the AI features constitutes your consent to that processing.
- You may use your own provider account. Where you connect your own Anthropic or OpenAI API key, requests are billed to that account and governed by your agreement with that provider rather than mine. My obligations in respect of those requests are limited to transmitting them as you have configured.
- Generated media carries your disclosure obligations. Where the platform generates images or documents at your direction, you are responsible for any disclosure your own industry or jurisdiction requires about machine-generated material.
- Output is not reproducible. An identical request may produce different output on different occasions. This is a property of the underlying models.
8. Availability
I aim to keep KesherSuite available and reliable. There is no contractual uptime guarantee and no service credit scheme at this stage. The service may be unavailable for maintenance, because of third-party failures outside my control, or because of a fault. Advance notice of planned downtime will be given where possible.
A contractual service level agreement is not currently offered, and will not be until the operational monitoring behind one is in place. Enquiries about a future SLA are welcome.
9. Early-stage software
KesherSuite is a young product under active development. Features may be changed, added or removed. Reasonable notice will be given before the removal of a feature you depend on, and no data will be deleted in order to make such a change. Where a change materially reduces the value of what you are paying for, contact me and a fair resolution will be reached, which may include a pro-rata refund.
10. Disclaimer of warranties
KesherSuite is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or accuracy.
I do not warrant that the service will be uninterrupted, error-free or secure against every threat, that defects will be corrected, or that output produced by the AI features will be accurate or suitable for your purposes. Nothing in this section limits rights you have under Singapore consumer protection law that cannot be excluded by agreement.
11. Limitation of liability
To the fullest extent permitted by law, my total aggregate liability arising out of or relating to this agreement or the service is limited to the greater of (a) the total fees you actually paid me in the twelve months before the event giving rise to the claim, or (b) SGD 100.
I am not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, or loss or corruption of data, however caused and under any theory of liability, even if advised that such damages are possible.
These limits do not apply to liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or to any other liability that cannot lawfully be limited.
Maintain your own backups. Export functionality is built into the product for this purpose. Backups are taken and tested, but you should not rely on this service as the only copy of data your business depends on.
12. Indemnity
You will indemnify me against claims, damages and reasonable costs arising from your use of the service in breach of these Terms, from data you store that you had no right to store, or from your infringement of a third party's rights.
13. Confidentiality
I will treat your data and business information as confidential and will not disclose it except as described in the Privacy Policy, as you direct, or where legally compelled. Where compelled, I will notify you first unless legally barred from doing so.
14. Data protection
My handling of personal data is governed by thePrivacy Policy, which forms part of these Terms. For data you put into your applications, I act as your processor and you as controller. A separate data processing agreement, for your own compliance purposes, is available on request by email.
15. Suspension and termination
- You may close your account at any time, for any reason.
- I may suspend or terminate an account for material breach of these Terms, for non-payment, or where required by law. Except where a breach makes it unsafe to wait, notice and an opportunity to remedy will be given.
- On termination, your right to use the service ends. You will have a reasonable period — at minimum the wind-down described in section 4.4 — to export your data before deletion.
- Deleting a record is reversible for a limited period. A record deleted inside an application is held in a recoverable trash for 30 days by default, a period your organisation can change, and is then permanently purged.
- Deleting an organisation is not reversible. Its entire database schema is dropped, along with every platform record tied to it. It cannot be recovered afterwards, by you or by me.
- Sections 5, 10, 11, 12 and 16 survive termination.
16. Governing law and disputes
These Terms are governed by the laws of Singapore, without regard to conflict of law rules. The courts of Singapore have exclusive jurisdiction over any dispute, and you consent to that jurisdiction.
Before commencing proceedings, please raise the matter with me by email. This is a request rather than a precondition to either party's right to bring a claim.
17. General
- Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between us and supersede any prior representation.
- Changes. These Terms may be updated. For material changes, at least 30 days' notice will be given by email and the effective date above updated. Continued use of the service after a revision takes effect constitutes acceptance of it. If you do not accept a revision, cancel.
- Assignment. You may not assign this agreement without my consent. I may assign it to a company incorporated to operate KesherSuite, or to a successor in a merger or sale of the business.
- Severability. If a provision is unenforceable, the remainder stays in force.
- No waiver. A failure to enforce a right does not waive it.
- Force majeure. Neither party is liable for a failure to perform caused by events genuinely beyond its reasonable control.
- No third-party rights. No person other than you and me may enforce these Terms.
